Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vero Sheets ("the Service" or "the Platform"), which allows you to configure, launch, and manage automated workflows ("Agents") within your Google Sheets environment. The Service is provided by Vero Automation ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms, so please read them carefully.

1. Acceptance of Terms

1.1 Agreement

By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (if applicable). If you do not agree with these Terms, you are not permitted to access or use the Service.

1.2 Eligibility

You must be at least the age of majority in your jurisdiction to use the Service. By using the Service, you represent that you meet any age, residency, or other eligibility requirements.

2. Description of the Service

2.1 Core Functionality

The Service provides an interface and back-end ("mainframe") that enables users to:

• Configure and store mapping information, API credentials, and other configuration data in conjunction with a Google Sheets document.
• Launch automated workflows ("Agents") that process, monitor, or otherwise manipulate data within a Google Sheet.
• Track Agent status, configure usage preferences, and manage execution triggers and schedules.

2.2 Third-Party Integrations

The Service may integrate with or rely on third-party APIs, including but not limited to Google APIs. You acknowledge that your use of such third-party services may be subject to additional terms and conditions imposed by those third parties. We are not responsible for any third-party services or their terms.

3. Usage and Obligations

3.1 Proper Use

You agree to use the Service strictly in accordance with these Terms and applicable laws. You are solely responsible for:

• Ensuring that you have the right to process or access any data that you load into or manage through the Service.
• Configuring and running Agents in a manner that does not violate any applicable law or infringe upon the rights of others.

3.2 Prohibited Activities

When using the Service, you agree not to:

• Violate any laws or regulations, including data protection and privacy regulations.
• Use the Service for any fraudulent or deceptive practices.
• Interfere with or disrupt the normal functioning of the Service or the underlying software, systems, or networks.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of any part of the Service, unless applicable laws specifically prohibit such restriction.

3.3 Account and Access

Where applicable, you are responsible for maintaining the confidentiality of any credentials you use to access the Service. You must notify us immediately if you suspect any unauthorized use of your account.

4. Data and Privacy

4.1 Data Ownership

You retain all rights to data you input, upload, or manage through the Service. You grant us a limited right to access, process, and store that data solely for the purpose of operating, maintaining, and improving the Service.

4.2 Data Processing

We store certain configuration data, row mappings, and state information to enable Agent operations and track progress. By using the Service, you consent to this processing of data, which may include metadata from your Google Sheets environment.

4.3 Third-Party API Keys

If you choose to integrate third-party services (e.g., external APIs) by adding their credentials (API Keys) into the Service, you are responsible for maintaining the security of those credentials and complying with the respective third party's terms.

5. Intellectual Property

5.1 Ownership

All rights, title, and interest in and to the Service (excluding your data) are and will remain the exclusive property of Vero Automation and its licensors. This includes any content, logos, or marks we provide.

5.2 Feedback

We welcome your suggestions, comments, or feedback. By submitting feedback, you grant us the right to use it without restriction or compensation to you.

6. Disclaimers and Limitations of Liability

6.1 Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2 No Guarantee of Results

We do not guarantee the accuracy, reliability, or completeness of the data processed by the Agents, nor do we guarantee uninterrupted or error-free operation of the Service. You assume all risks associated with the results of your Agents' actions.

6.3 Limitation of Liability

To the fullest extent permitted by law, in no event shall Vero Automation be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your access or use of the Service.

7. Indemnification

You agree to defend, indemnify, and hold harmless Vero Automation, and its officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from or related to:

• Your use or misuse of the Service.
• Your violation of any law or regulation.
• Your infringement of any third-party rights.

8. Termination

8.1 Termination by You

You may discontinue use of the Service at any time. If you wish to delete any configuration data or cease using the Service, you can remove the associated scripts and triggers from your Google Sheets environment.

8.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time if we believe you have violated these Terms or applicable laws, or if discontinuing the Service is necessary in our sole discretion.

8.3 Effect of Termination

Upon termination or suspension, all licenses and other rights granted to you in these Terms will immediately cease. We will have no liability for any damages resulting from such termination.

9. Changes to These Terms

We may revise these Terms from time to time at our sole discretion. When we do, we will update the "Effective Date" at the top. Your continued use of the Service following the posting of revised Terms indicates your acceptance of the changes.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising hereunder will be governed by the laws of the United States Of America, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in United States Of America for resolution of any disputes.
